ntorcertificateoftheinvestmenttothelender；
4.theborrowerhasprovidedtheboardresolutionandpowero
fattorneyregardingthisloancontract；
5.theborrowerhasprovidedthelistandthesignaturesampl
eoftheauthorizedpersonwhoempowertosignthiscontracta
nddocuments；
6.theguarantyunderthiscontracthasbeeneffective；
7.theborrowerhasbeensatisfiedthewarrantsunderarticl
e11ofthiscontract；
8.theotherrequirementforthedraw-downhavebeensatisfi

article8repaymentplanandprepayment
1.theborrowershallrepaytheloaninaccordancewiththest
atusofitscash.theborrowershallinformthelenderthepay

article10guaranty

thelendershallhaverighttorequesttheborrowerchangesg
uarantororprovidemortgageandpawnsecuredforthisloanu
nderthiscontract.
article11representationsandwarranties
i.theborrowersrepresentsandwarrantsasfollows：
1.theborrowerisacompanydulyorganizedandvalidlyexist
ingunderthelawofthepeoplesrepublicofchinaandhasthep
owerandauthoritytoownitspropertytoconsummatethetran
sactionscontemplatedinthiscontractandjointhelitigat
ion.theborrowerhasthepowertohandleitassetsusedinope
ration.
2.theborrowerisatitsoptiontosignandperformthiscontr
act.itistheborrowerstruemeaningandhasthepowertosign
thiscontractanditisnotbreachitarticleofassociationo
rregulationsorcontracts.theprocedureforsignatureand
performanceofthiscontracthasbeengonethroughandfully
effectiveness.
3.thealldocuments ， materials ，
reportsandcertificatesprovidedtothelenderbytheborro
werforconsummationofthiscontractistrue ， real ，
competeandeffective
4.theborrowershallnotconcealthefollowingeventswhich
isbeinghappenedorhavebeenhappenedwhichwillcausethel
enderrefusetoextendtheloan：

theborrowerortheprincipalexecutivesoftheborrowerinv
olveinmaterialeventswhichbreachregulations ，
lawsorcompensationtoothers；
（2）pendingactionsandarbitration；
（ 3 ）
theborrowersdebtsorproposeddebtsorliensandotherencu
mbrances；
（ 4 ）
theothermatterswillimpactthefinancialstatusorabilit
iesofrepaymentforthedebts；
（ 5 ）
theborrowerbreachedcontractwhichisbetweentheborrowe
randothercreditors.

1.usingthecapitaloftheloanasusagesetforthinthiscont
ract，theborrowerwillnotusetheloanasequityinvestment；
theborrowerwillnotusethecapitaloftheloaninvestinsec

realestateetc.theborrowerwillnotlendtotheotherspriv
atelyorinvolvingothermaterswhichisprohibitedbytheco
untry.theborrowerwillnotmisusingorappropriationofth
eloan.
2.makingpaymentandrelatedexpensesinaccordancewithth
eprovisionssetforthinthiscontract；
3.providingupdatedfinancialstatementorfinancialbull
etineveryquarter ；
providingtheauditedfinancialreportatthefirstquartof
eachyear ； providingoperationreport ，
financialreportorotherfilesandmaterialsandshallwarr
antthereality ，
correctandeffectivenessforthefilesandmaterials；
4.anyanti-guarantyorothersimilardocumentswillnotmak
eanyimpactontherightsandbenefitsofthelenders；
5.acceptingthesupervisionofthelender ，
providesassistanceandcooperationforthelenderssuperv
isions；
6.willnotreducetheregistrationcapital ；
priorapprovalfromthelendershallberequiredwhenthebor
rowerchangesofshareholdersandoperationmanner

changetosharecompany ， usethehousing ，

7.theborrowershallinformthelenderandwarrantstheliab
ilityunderitssecuritywillnotmorethannetassetsoftheb
orrowerwhentheborrowerguaranteeforotherpartyormortg
ageitsassets.theborrowerwarrantsthatwillnotdisposet
heassetswhichwillmakeadverseimpactonitsabilityofpay
ingdebts.
8.theborrowerwillnotpaytheothersimilarloanspriortot

9.theborrowerwarrantstoinformthelenderimmediatelywh

i.thelenderrepresentsandwarrantsasfollows：
1.thelenderisastate-ownedcommercialbankorbranchduly
organizedandvalidlyexistingunderthelawofp.r.candapp
rovedbytheindustryandcommercialadministrationandhol
dsthefinancialinstitutionslegalpersonlicensesandfin
ancialinstitutionsoperationlicensetobequalifiedtoop
eratefinancialbusiness.
2.thelenderhastakenallnecessaryactiontoauthorizethe
executionofthiscontractandperformanceofitsobligatio
nsunderthiscontract.thelenderisdulyauthorizedtoexte
ndthisloan.

1.thelendershallextendtheloaninaccordancewiththepro

hmaymakeimpacttheborrowertoperformtheobligationsund
erthiscontract.

conclusiveevidencetoshowthattheborrowerlosethecapac
ityofcreditorduringperformanceoftheobligationundert
hiscontract ，
thefinancialconditionsoftheguarantorareseriouslydet
erioratingorotherreasonscausedtheguarantorthecapaci
tyofcreditdecline.

requesttheborrowertorepaytheloanprincipals ，

ii.thesettlementforthelenderbreachofthecontract
1.thelenderfailstoextendtheloanasagreedinthiscontra
ctwithoutanyreasons；
2.thelenderbreachestheagreedinterestrateandcollecti
onaddinterestsorotherfees；
3.thelenderbreachestheprovisionssetforthinarticle12；
4.undertheabovecircumstances ，
theborrowershallhaverightto：
（1）requestthelendertorectify；

repaytheloanaheadoftimeandrefusetopayanycompensatio
nforprepayment.
article14deduction
theborrowershallpayinfullforthepaymentwithoutanycou
nteractionoranycondition.
article15assignmentofthedebtandcredit
1.theborrowershallnotassignitsrightandliabilityunde
rthiscontracttootherthirdpartywithoutanywrittenappr
ovalofthelender；
2.intheeventtheborrowerassignitsrightandliabilityun
derthiscontracttootherthirdpartyunderthewrittencons

thethirdpartyshallabidethiscontractwithoutanycondit

article16performanceofobligationandwaiverofrights
1.theborrowerisindependentcontractorunderthiscontra

article17amendment ，
supplementandinterpretationofthecontract
1.thiscontractcouldbeamendedandsupplementeduponthew
rittenagreementsconcludebytheparties.anyaamendmenta
ndsupplementshallbeintegralpartyofthiscontract.
2.intheeventchangeoflaws ，
regulationsorlegalpracticewhichwillcauseanytermscon
tainedinthiscontractbecomeillegal ，
invalidorlossofpractice ，
theotherpartofthiscontractshallnotbeimpairedbyit.th
ebothpartiesshallmakeeffortstochangetheillegal ，
invalidorlossofpracticepart.
3.forthemattersnotreferredinthiscontractshallbecons

article18disputeresolution ，
governinglawandwaiverofexemption

interpretationanddisputeresolutionshallbesubjecttot
helawsofthepeoplesrepublicofchin.thedisputesarising
fromtheexecutionofthiscontractshallbesettledthrough
friendlyconsultationbybothparties.incasenosettlemen
tcanbereached ，
thedisputesshallbesubmittedtothepeoplescourtofthelo
cationofthelenderforjudgment.
2.theborrowershallnotrejectanyobligationduringthese
ttlementofdisputes.
3.theexecutionandperformanceofthiscontractandtherel
atedtransactioniscivilbehavior.theborrowershallnota
ppealtotakeactiontoexemptfromtheobligationunderthis
contract.
